Infra Finder Terms and Conditions

  1. Introduction

Invest in Open Infrastructure (“IOI”) created the Infra Finder to serve as a free, one-stop discovery and evaluation tool for users to find open infrastructure services that may suit their needs. The tool consists of information volunteered by participating open infrastructure services providers. While we do our best to verify all information submitted by participating providers, we cannot and do not guarantee the validity or accuracy of any information presented in the Infra Finder tool. Also, please be aware that the Infra Finder is provided for informational purposes only, and the inclusion of a particular open infrastructure service or provider in the Infra Finder does not constitute an endorsement or recommendation of that service or provider by IOI. We encourage you to do your own due diligence before purchasing any services that are described in the Infra Finder.       

  1. Terms of Use

By using the Infra Finder: (a) you acknowledge that the Infra Finder is provided “as is,” and that IOI makes no representations or warranties with respect to the Infra Finder or any information included in the Infra Finder, (b) you acknowledge and agree that IOI will not be liable or responsible to you or any other person or entity for any errors or omissions in such information, or for any claims, damages, or liabilities resulting from your use of the Infra Finder, or from your reliance on any information in the Infra Finder; and (c) you release IOI from all claims that may arise from your use of the Infra Finder (except for any portion of such claim that is directly and solely caused by the gross negligence or willful misconduct of IOI).

  1. Content Submitted by Providers

Each open infrastructure services provider (“Provider”) that has submitted or is submitting information (each a “Submission”) to Invest in Open Infrastructure (“IOI”) in connection with IOI’s new web-based “Infra Finder” tool must agree to the following terms to have Provider’s Submission(s) included in the tool:  

  • As the person accepting and agreeing to these terms on behalf of a Provider, you represent that you have the authority to bind the applicable Provider to these terms.
  • You acknowledge that you and Provider are solely responsible for ensuring the quality and accuracy of the information included in your Submission(s), you represent that the information in the Submission(s) is complete and accurate to the best of your knowledge, and you agree to maintain the accuracy of such information by promptly notifying IOI of any corrections or changes that need to be made.  
  • You agree to provide reasonable and prompt assistance to IOI, as requested by IOI from time to time, in reviewing and confirming the accuracy of Provider’s information as it appears in the Infra Finder tool.
  • You acknowledge and agree that:
    • IOI, in its sole discretion, will determine what information from your Submission(s) is included in the Infra Finder tool;
    • any and all information included in your Submission(s) (except for your personal information) may be used and publicly disclosed by IOI as part of the Infra Finder tool, and may be used by IOI for any other purposes consistent with its mission, including, without limitation, for IOI’s own research purposes;
    • the IOI website, including the Infra Finder tool and any information from your Submission(s) that IOI elects to include in the Infra Finder tool, is being made available to the public under a Creative Commons Attribution 4.0 International License; 
    • your personal information will be used in accordance with IOI’s Privacy Policy; and
    • neither you nor Provider will receive any compensation from IOI in exchange for your submission, nor will you or Provider be entitled to any data relating to the use of, or collected from or about users of, the Infra Finder tool.
  • You, and the Provider on whose behalf you are accepting these terms, release IOI, and its directors, officers, employees, and agents, from all claims, demands, or causes of action that may arise directly or indirectly from IOI’s use of your Submission(s), except with respect to any portion of such claim that is directly and solely caused by the gross negligence or willful misconduct of IOI.  
  • To the fullest extent permitted by applicable law, Provider agrees to be liable for, and indemnify IOI against, any and all liability to or claims by third parties arising from Provider’s Submission(s).
  1. Changes to These Terms

We reserve the right to change these terms, or to impose new conditions on use of or participation in the Infra Finder, from time to time, in which case we will post the revised terms within the Infra Finder site or otherwise notify you of such change(s). By continuing to use or participate in the Infra Finder after we post or notify you of any such changes, you accept the terms as modified.
